Charter
ING updated its Supervisory Board charter in
November 2004 in accordance with the Dutch Corporate Governance
Code and the requirements of the American Sarbanes-Oxley Act.
The duties and powers of the Supervisory Board and its procedures
have been laid down in the charter, including its relations with
the Executive Board, the General Meeting and the Works
Councils.
The charter is updated annually. The last update is from 1 June
2009.
Profile
The Supervisory Board adopted its own profile
in February 2002. It was updated in November 2004 in accordance
with the Dutch Corporate Governance Code and the requirements of
the American Sarbanes-Oxley Act. The purpose of the profile is to
provide guiding principles for the appointment of members and the
composition of the Supervisory Board. The last update is from 1
